The whole point of Mike's "comeback exhibition" was to showcase how healthy he looked for being 53 years old. Therefore, he was going to be paired with someone young than him.

His schtick is "I look ripped for being 53. I look like I can beat guys younger than me." Therefore, he won't fight holyfield, who is older than him.
