Nissan Chairman Carlos Ghosn arrested over allegations of financial misconduct
David Reid | Nov 19 2018

Nissan said its Chairman Carlos Ghosn has been placed under arrest after he allegedly violated Japanese financial law.

The auto giant said in an earlier statement Monday that “over many years” Ghosn and board director, Greg Kelly, had been under-reporting compensation amounts to the Tokyo Stock Exchange securities report.

Nissan added that, in regards to Ghosn, “numerous other significant acts of misconduct have been uncovered, such as personal use of company assets.” The company said Ghosn had also made inappropriate investments.

In a press conference Monday, Nissan Chief Executive Hiroto Saikawa, said both men had been arrested and this Thursday he would propose to the Nissan Board of Directors to remove them from their roles.

The chief executive revealed that a whistle-blower had passed information to Nissan’s auditors who then began a wider investigation. The evidence was then passed to Japan’s public prosecutor.

Saikawa said both Ghosn and Kelly clearly “masterminded” the allegations of misconduct but refused to say how many more people could be involved. He said that due to the secrecy of the operation, most other top executives at the firm had only learned of Ghosn’s wrongdoing in the last few hours and that only “a few” people knew about the investigation.

Facing the press alone, the chief executive added that he felt the mistake had come after allowing a concentration of power in one individual. Saikawa said the misconduct went on for “a long period” and it looked like Kelly had been allowed to take control of internal operations, as he had the direct backing of Ghosn.

Nissan shares in Asia had already ceased trading on Monday when the news broke, but Renault shares — with Ghosn also being the CEO and chair of the French automaker — hit their lowest level in three years. Renault’s stock was more than 13 percent lower shortly before 12:00 p.m. Paris time.

An alliance between Renault, Nissan, and Mitsubishi has been built up over the last two decades. Nissan and the French government each own 15 percent of Renault. In turn, the French auto firm holds a 43 percent stake in Nissan. In a statement Monday, the French President Emmanuel Macron said he would be extremely vigilant over the stability of the alliance between the two companies.

A brief reaction note from analysts at Citi Research on Monday said the volatile share price reaction showed how pivotal Ghosn is for any potential collapse of the Renault-Nissan structure. Citi added that while Renault’s stock trades at about a 50 percent discount to its 10-year average, this discount would likely rise should Ghosn depart as he is “viewed as the chief architect of any solution.”

Ghosn is considered a hugely influential executive within the global automotive industry. The cross-ownership alliance of Renault, Nissan, and Mitsubishi have all enjoyed an upswing in fortunes under his leadership. After successfully restructuring Renault in the late 1990s, Ghosn earned the nickname “Le Cost Killer.”

Born in Brazil, Ghosn became the world’s first person to run two companies on the Fortune Global 500 simultaneously when he assumed the CEO roles at both Renault and Nissan in 2005. He stepped down as Nissan CEO in 2017.

In June this year, Renault shareholders voted by a slim majority to approve a 7.4 million euro ($8.4 million) pay package for Ghosn’s work in fiscal 2017. According to other securities filings, Ghosn earned 735 million Japanese yen ($6.52 million) from Nissan and 227 million yen from Mitsubishi for the same period.

Was going to create a thread on this.
This is big news in the business world. It would be like the head of GM or Ford being arrested, only Ghosn heads not 1 but 3 major auto companies.

Ghosn is widely credited with rescuing a Nissan that was in bad shape. He is not just head of Nissan but Renault and Mitsubishi too.

Ghosn , along with another executive, is being charged with under-reporting his compensation package to Japanese authorities. He is also charged with skimming off Nissan company funds for personal use, such as homes in Paris, Beirut, Rio and Amsterdam.

Lebanese men are very smart but prone to excess. I am amazed at how well Lebanese have done after immigrating to South America and Europe.

Both you and I know it should be filed under "Business".

I can put it under economy for now if you'd like. That's where business currently falls and Id agree that probably makes more sense for the crowd of readers it would pull in.

They are very mercantilist. Been a part of their culture for eons. They aren't the only ethnic groups who have a strong business acumen.

France issues international arrest warrant for Carlos Ghosn
Prosecutors also issue warrants for four others for allegedly helping the former Renault executive enrich himself

French prosecutors issued international arrest warrants for Carlos Ghosn as well as four individuals they say are linked to an auto dealer in Oman, alleging they helped the fallen auto titan funnel millions of euros from Renault SA, according to people familiar with the matter.

An investigating magistrate issued five international arrest warrants against Mr. Ghosn, the former chief of Nissan Motor Co. and Renault, and the current owners or former directors of the Omani company Suhail Bahwan Automobiles, a vehicle distributor in Oman, the prosecutor’s office in the Paris suburb of Nanterre said to The Wall Street Journal. They allege Mr. Ghosn funneled millions of dollars of Renault funds through the Omani car distributor for his personal use, including for the purchase of a 120-foot yacht.

Mr. Ghosn fled from a trial on charges of financial wrongdoing in Japan to Lebanon while hidden in a musical equipment box.

After escaping, Mr. Ghosn initially welcomed the French investigation, saying that he believed in the French justice system, which would allow him to establish his innocence. A spokeswoman for Mr. Ghosn declined to comment on the arrest warrants.

The latest arrest warrant won’t fundamentally change Mr. Ghosn’s personal situation. After fleeing Japan, he remains in Lebanon, where he is living as an international fugitive in a house that was purchased for him by the Japanese car maker. Lebanon doesn’t extradite its citizens—and Mr. Ghosn has citizenship in Lebanon, France and Brazil.

However, the warrants are another legal blow to Mr. Ghosn’s reputation. He has painted himself as the victim of a Japanese justice system, which he says is unfair and presumes guilt. Japanese officials say he would have had a fair trial if he had remained in Japan.

People close to Mr. Ghosn don’t rule out his going to France to face trial one day, although they say that is complicated by the fact Lebanon is currently holding his passports. It could also mean being away from his wife for an extended period of time. Japanese prosecutors issued an arrest warrant against Carole Ghosn in the wake of her husband’s escape.

She isn’t a French citizen and could be extradited to Japan if she tries to leave Lebanon, people close to Mr. Ghosn say. Mr. Ghosn can’t be extradited from France to Japan. France, as a rule, doesn’t extradite its citizens and Mr. Ghosn has French citizenship.

One of the French warrants targets Suhail Bahwan, the billionaire whose sprawling conglomerate owns the dealership in Oman, according to people familiar with the matter. Mr. Bahwan has a number of ties to France, where he owns properties. One of his daughters, Hind Bahwan, is the chairperson of the Omani French Friendship Association and received France’s highest honor, the Légion d’honneur, in 2019.

The other warrants target two of Mr. Bahwan’s sons, as well as the former general manager of the Omani dealership, the people said. Suhail Bahwan Automobiles sells tens of thousands of Renault and Nissan vehicles a year in the Middle East.
